I, LINCOLN CHING, hereby certify that:

I am the duly acting Secretary of the EAST KAUAI WATER USERS' COOPERATIVE, a Hawaii Agricultural Cooperative (HRS Chapter 421); and

The foregoing Bylaws comprising twenty-eight (28) pages constitutes the original Bylaws of said Corporation as duly adopted by the initial Members of the Corporation on April 2, 2001.
